{"_id":"69045844594952f94e4720b4","type":"terms-and-conditions","content":"   <div className=\"container mt-5 pt-5\">\n      <h3 className=\"fw-semibold mb-4\">Terms and Conditions — Shilpa Advisors </h3>\n\n     \n      <h5 className=\"fw-semibold mt-4\">1) Who we are</h5>\n      <p>\n       {` Shilpa Advisors (“Shilpa”, “we”, “us”, “our”) helps SMEs run compliant, audit-ready operations through:`}\n      </p>\n      <ul>\n        <li><strong>HRMS (SaaS):</strong> attendance, leave, payroll (EPF/ETF/APIT), payslips (EN/SI), bank files, reports.</li>\n        <li><strong>International Standards/ISO Consulting:</strong> Gap → Docs → Training → Internal Audits → Certification support (e.g., ISO 9001/45001/22000/14001/21001/39001, HACCP/GMP).</li>\n        <li><strong>Employee Training & OBT :</strong> leadership, supervisory, ISO IA, OHS (45001), team building/OBT.</li>\n        <li><strong>Private Security Industry Support:</strong> guard SOPs, registers, drills, surprise audits, buyer/CSR/CTPAT-style alignment.</li>\n      </ul>\n\n      \n      <h5 className=\"fw-semibold mt-4\">2) Acceptance of these Terms</h5>\n      <p>\n        By using our website, downloading resources, booking consultations, attending training/OBT, engaging consulting, or subscribing to HRMS, you agree to these Terms. \n        If you act for a company, you confirm authority to bind that company.\n      </p>\n\n    \n      <h5 className=\"fw-semibold mt-4\">3) Engagement structure </h5>\n      <p>\n        Website content is a summary. Actual scope, timelines, deliverables, fees, and payment terms are set in a Proposal/Statement of Work (SOW) or Subscription Order. \n        If there is any conflict, the SOW/Order prevails over these Terms and over any marketing pages.\n      </p>\n\n      \n      <h5 className=\"fw-semibold mt-4\">4) Service descriptions</h5>\n\n     \n      <h6 className=\"fw-semibold mt-3\">4.1 HRMS (SaaS)</h6>\n      <ul>\n        <li><strong>Access:</strong> licensed per company; named/admin users as per Order.</li>\n        <li><strong>Features:</strong> attendance & biometrics integrations, leave, payroll with EPF/ETF/APIT, bilingual payslips (EN/SI), LKR bank files, reports, month-end locking.</li>\n        <li><strong>Environment:</strong> cloud-hosted; we may change hosting providers with equivalent or stronger safeguards.</li>\n        <li><strong>Uptime target:</strong> 99.5% monthly (planned maintenance excluded; 48h notice where possible).</li>\n        <li><strong>Support:</strong> ticket/email/WhatsApp during business hours; severity-based response targets per SOW/SLA.</li>\n        <li><strong>Client data:</strong> you control employee and payroll data; we process under your instructions (see Privacy).</li>\n      </ul>\n\n    \n      <h6 className=\"fw-semibold mt-3\">4.2 International Standards/ISO Consulting</h6>\n      <ul>\n        <li><strong>Scope:</strong> gap analysis, SOPs/docs, training, internal audits, MRM facilitation, certification coaching, surveillance prep.</li>\n        <li><strong>Certification:</strong> we do not guarantee certification decisions made by independent bodies; we prepare you to meet requirements.</li>\n        <li><strong>Evidence:</strong> we assist in building audit-ready records; you remain responsible for operational compliance.</li>\n      </ul>\n\n      \n      <h6 className=\"fw-semibold mt-3\">4.3 Employee Training & OBT </h6>\n      <ul>\n        <li><strong>Programs:</strong> leadership/supervisory, ISO awareness/IA, OHS (45001), OBT/team building.</li>\n        <li><strong>Logistics:</strong> venue/OBT partners, safety briefings, equipment lists; participants must follow facilitator and venue safety instructions.</li>\n        <li><strong>Health & safety:</strong> disclose relevant medical/dietary information for OBT; we may decline participation if safety is at risk.</li>\n      </ul>\n\n    \n      <h6 className=\"fw-semibold mt-3\">4.4 Private Security Industry Support</h6>\n      <ul>\n        <li><strong>Scope:</strong> SOPs/post orders, registers, incident reporting, drills, audits, CAPA tracker, buyer/CSR mapping.</li>\n        <li><strong>Site access:</strong> you ensure safe access, escorts, and necessary permits.</li>\n        <li><strong>Implementation:</strong> adoption of SOPs, supervision, and compliance remain your responsibility.</li>\n      </ul>\n\n     \n      <h5 className=\"fw-semibold mt-4\">5) Your responsibilities</h5>\n      <ul>\n        <li>Provide accurate data, timely approvals, access to systems/sites, and a project owner.</li>\n        <li>Ensure employee notices/policies and regulatory filings are accurate and filed on time.</li>\n        <li>For HRMS, configure policies correctly (or approve our configuration), validate outputs before payroll submission, and secure user access.</li>\n      </ul>\n\n      <h5 className=\"fw-semibold mt-4\">6) Changes & dependencies</h5>\n      <p>If prerequisites, dependencies, or requested changes impact scope/timeline/cost, we will propose an adjustment. Delays caused by missing inputs or approvals may shift delivery dates.</p>\n\n      <h5 className=\"fw-semibold mt-4\">7) Fees, expenses, taxes, and invoicing</h5>\n      <ul>\n        <li>Fees are per SOW/Order; <strong>applicable taxes</strong> are additional.</li>\n        <li>HRMS subscription is billed in advance (monthly/annual); consulting/training/security per milestone or day rate.</li>\n        <li>Out-of-pocket expenses (e.g., travel, venue, materials) are billable at cost with prior approval.</li>\n      </ul>\n\n      <h5 className=\"fw-semibold mt-4\">8) Cancellations & rescheduling</h5>\n      <ul>\n        <li><strong>Training/OBT</strong> moved/cancelled ≤7 working days before the date may incur venue/vendor fees.</li>\n        <li><strong>Consulting days</strong> can be rescheduled by mutual agreement; prepaid days remain valid for 6 months unless stated otherwise.</li>\n        <li><strong>HRMS</strong> auto-renews per Order; cancellation takes effect at current term end.</li>\n      </ul>\n\n      <h5 className=\"fw-semibold mt-4\">9) Payment & late amounts</h5>\n      <p>Invoices are due per SOW/Order (typically 7-14 days). Late amounts may incur a reasonable late fee and/or suspension of services until paid.</p>\n\n      <h5 className=\"fw-semibold mt-4\">10) Intellectual property & licenses</h5>\n      <ul>\n        <li>Our pre-existing IP (templates, decks, frameworks, software) remains ours; we license it to you for internal use.</li>\n        <li>Deliverables created specifically for you become yours upon full payment (excluding underlying templates/tools).</li>\n        <li>Free resources on the site may include a credit line; keep it unless agreed otherwise.</li>\n      </ul>\n\n      <h5 className=\"fw-semibold mt-4\">11) Acceptable use </h5>\n      <p>Do not breach security, reverse engineer, introduce malware, overload infrastructure, or use our services to violate laws, privacy, IP, or employment rights.</p>\n\n      <h5 className=\"fw-semibold mt-4\">12) Confidentiality</h5>\n      <p>Both parties must keep the other's non-public information confidential, using it only to deliver the project, except where disclosure is required by law or agreed in writing.</p>\n\n      <h5 className=\"fw-semibold mt-4\">13) Data protection </h5>\n      <p>\n        We align with Sri Lanka's Personal Data Protection Act (PDPA) principles. \n        For <strong>HRMS</strong> you are the <strong>Controller</strong> and we act as <strong>Processor</strong>. \n        Our <strong>Data Processing Addendum (DPA/DPA-SL)</strong> forms part of SaaS Orders (see Privacy). \n        For consulting/training/security, roles may vary by context; we'll agree roles case-by-case.\n      </p>\n\n      <h5 className=\"fw-semibold mt-4\">14) Third-party services & integrations</h5>\n      <p>The website and HRMS may integrate email, cloud, analytics, messaging (e.g., WhatsApp), biometric devices, and bank/ERP exports. You agree to the third parties' own terms and privacy notices.</p>\n\n      <h5 className=\"fw-semibold mt-4\">15) Warranties & disclaimers</h5>\n      <p>We perform services with reasonable skill and care. Except as set out in an SOW/Order, services and the website/HRMS are provided “as is”. We do not warrant uninterrupted/error-free operation or specific certification decisions by third parties.</p>\n\n      <h5 className=\"fw-semibold mt-4\">16) Liability cap</h5>\n      <p>To the fullest extent permitted by Sri Lankan law, our total liability arising from the services is limited to the fees paid for the specific service in the preceding 12 months. We are not liable for indirect or consequential losses (e.g., lost profits, revenue, data, or opportunity).</p>\n\n      <h5 className=\"fw-semibold mt-4\">17) Indemnities</h5>\n      <p>You indemnify us for claims/losses arising from (a) unlawful or infringing content/data you supply; (b) misuse of the HRMS; (c) failure to obtain necessary consents; or (d) safety breaches at your sites.</p>\n\n      <h5 className=\"fw-semibold mt-4\">18) Health, safety & OBT</h5>\n      <p>All participants must follow safety guidance. We and our partners reserve the right to refuse activities where safety is at risk. You are responsible for adequate insurance covering your staff and sites.</p>\n\n      <h5 className=\"fw-semibold mt-4\">19) Non-solicitation </h5>\n      <p>During the engagement and for 6 months after, neither party will solicit to hire the other's assigned personnel without written consent (does not restrict general job ads).</p>\n\n      <h5 className=\"fw-semibold mt-4\">20) Publicity & case studies</h5>\n      <p>With your written consent, we may reference your logo/name and a high-level description of the engagement. Sensitive details are always redacted or anonymised.</p>\n\n      <h5 className=\"fw-semibold mt-4\">21) Anti-bribery & ethics</h5>\n      <p>Each party will comply with applicable anti-bribery, anti-corruption, and modern slavery laws and maintain appropriate policies and training.</p>\n\n      <h5 className=\"fw-semibold mt-4\">22) Force majeure</h5>\n      <p>Neither party is liable for delays/failures caused by events beyond reasonable control (e.g., power/ISP outage, natural disasters, regulatory changes).</p>\n\n      <h5 className=\"fw-semibold mt-4\">23) Governing law & dispute resolution</h5>\n      <p>These Terms are governed by the <strong>laws of Sri Lanka</strong>. Courts of <strong>Colombo</strong> have exclusive jurisdiction. Parties will first attempt to resolve disputes amicably within 14 days of written notice.</p>\n\n      <h5 className=\"fw-semibold mt-4\">24) Changes to these Terms</h5>\n      <p>We may update these Terms for legal, security, or operational reasons.
